Terms of Service

These Terms of Service ("Terms") govern your access to and use of VotrexOne, an all-in-one church media and management platform operated by VotrexStudio LLC ("VotrexStudio", "we", "us"). By creating an account or using the service you agree to these Terms.

1. The service

VotrexOne lets churches upload sermon media, generate transcripts and short-form clips, manage people, groups, and forms, communicate through group messaging, and publish content to the church's own connected third-party accounts (such as YouTube and Facebook). Features may change over time.

2. Accounts and eligibility

• Staff accounts are provided to authorized staff of a Church Customer.
• Member accounts may be created by members of a congregation to access their church's groups and messaging. Member accounts are scoped to the church they belong to.
• You are responsible for keeping your login credentials confidential and for activity under your account.
• You must provide accurate information and promptly update it when it changes.

3. Church data ownership

As between VotrexStudio and a Church, the Church owns the content it uploads and the records it collects ("Church Data"). You grant VotrexStudio the limited rights needed to host, process, and display that content in order to provide the service, including transcribing audio, generating clips, maintaining directory and group records, and publishing content you direct us to publish.

Your content and licenses. You represent and warrant that you hold all rights, licenses, consents, and permissions necessary for any content you upload, store, display, or share through the service, including any copyrighted worship songs, lyrics, chord charts, lead sheets, sheet music, recordings, images, or other third-party materials. You will only make such content available to your authorized users (such as your worship team or congregation) to the extent your licenses permit.

Third-party licensing, including CCLI. You are solely responsible for your own compliance with third-party licensing requirements, including without limitation CCLI licensing (such as a SongSelect® subscription and a CCLI Church Copyright License) and any required song-usage reporting. VotrexOne is a tool for organizing and sharing content you are already licensed to use; it does not grant, sublicense, or provide any rights to third-party copyrighted content, and it does not access CCLI, SongSelect, or similar services on your behalf. Any charts, lyrics, or media you add are added by you from sources you are licensed to use.

Indemnity for your content. You will indemnify, defend, and hold harmless VotrexStudio LLC from and against any claim, demand, loss, or damage (including reasonable legal fees) arising out of content you upload or share, or out of your failure to hold the licenses or permissions required for that content.

Our processing of personal data within Church Data is further described in our Privacy Policy and our Data Processing Addendum.

4. Acceptable use

You agree not to use VotrexOne to:

• Upload or publish content you do not have the rights to use, or that infringes others' intellectual property.
• Post content in messaging that is unlawful, harassing, obscene, or otherwise inappropriate for a church community.
• Violate any applicable law or the terms of a connected platform (including the YouTube Terms of Service and Meta's Platform Terms).
• Attempt to breach security, access other tenants' data, or disrupt the service.
• Upload malicious code or unlawful, harmful, or abusive material.

5. Third-party platforms

Publishing to YouTube, Facebook, or other services is subject to those platforms' own terms and to your maintaining a valid connection. We are not responsible for changes, outages, or decisions made by third-party platforms. You may disconnect a platform at any time.

6. Payments, giving, and fees

• Subscription. A Church pays VotrexStudio a subscription fee for access to VotrexOne, as described at signup or in an applicable order or quote. Unless stated otherwise, fees are billed in advance and are non-refundable except where required by law.
• Online giving. A Church that enables online giving connects its own Stripe account. Donations are processed by Stripe directly into the Church's account. VotrexStudio does not hold, control, or have access to donated funds, is not a party to the transaction between a donor and the Church, and is not a bank, money transmitter, or payment processor.
• Platform fee. VotrexStudio may charge a small platform fee (an application fee) on giving transactions, as disclosed in the Church's settings.
• Refunds and disputes. Refunds, chargebacks, and disputes relating to donations are handled by the Church through its own Stripe account; VotrexStudio is not responsible for them.
• Taxes and receipts. The Church is responsible for its own tax obligations, including issuing any contribution receipts or year-end statements to its donors.
• Stripe terms. Use of online giving is also subject to Stripe's applicable agreements (including the Stripe Services Agreement and Connected Account Agreement).

7. AI-generated content

VotrexOne uses automated and AI tools to select clip segments and draft titles, descriptions, and captions. These outputs are suggestions; you are responsible for reviewing content before publishing it.

8. Availability and changes

We aim for reliable service but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue features, and we may update these Terms; continued use after changes take effect constitutes acceptance.

9. Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, VotrexStudio LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, revenue, or profits, arising out of or related to your use of the service.

11. Termination

You may stop using the service at any time. We may suspend or terminate access for violations of these Terms or where required to protect the service or other users. Upon termination, Church Data is handled as described in our Privacy Policy and Data Deletion page.

12. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws principles, and the state and federal courts located in Pennsylvania will have jurisdiction over any dispute arising out of or relating to these Terms or the service.

13. Governing terms

These Terms constitute the agreement between you and VotrexStudio LLC regarding the service. If any provision is found unenforceable, the remaining provisions remain in effect.
